1) Agreement to terms
By accessing or using ReOwn's website, mobile application, or related services (collectively, the “Services”), you agree to these Terms and Conditions (the “Terms”). If you do not agree, do not use the Services.
2) Who we are
ReOwn is a commerce platform that enables sellers (“Stores”) to operate online storefronts, manage orders, and use optional business tools.
3) Eligibility and accounts
- You must be at least the age of majority in your jurisdiction to create an account.
- You are responsible for maintaining the confidentiality of your login credentials.
- You agree to provide accurate information and keep it updated.
4) Services overview
ReOwn may provide, depending on the seller's setup and plan:
- Marketplace and storefront pages
- Checkout and order management
- Messaging between buyers and sellers
- Optional tools such as CRM, Marketing, Inventory, and Finance
ReOwn may modify, suspend, or discontinue parts of the Services at any time.
5) Marketplace, sellers, and transactions
- Stores are responsible for the products or services they list, including pricing, descriptions, fulfillment, returns, and compliance with applicable laws.
- ReOwn may facilitate checkout and payment processing, but the underlying sale is between the buyer and the Store (unless ReOwn explicitly states otherwise).
- ReOwn may take action on listings or accounts for policy, safety, fraud, or legal reasons.
6) Payments, subscriptions, and fees
Some Services may require payment.
- Fees are Exclusive of VAT: All listed prices for subscription plans, add-ons, and platform commission fees are exclusive of Value Added Tax (VAT). VAT (currently 12%) will be charged on top of the listed fee.
- Withholding Tax: As a marketplace operator, ReOwn is designated as a withholding agent by the BIR. We are required to withhold 1% (or the applicable rate) of the gross remittance to Sellers and remit this to the government on your behalf. You will receive BIR Form 2307 for these withholdings.
- Subscription Plans: Subscription plans and optional add-ons are billed according to your selected billing cycle.
- Transaction Fees: A platform commission fee (exclusive of VAT) and payment processing fees apply to eligible orders.
- Late Payments: Late payment penalties may apply to past-due invoices.

7) Returns and refunds
- Buyer Protection: All orders are covered by ReOwn Buyer Protection. Payment is held securely until the order is confirmed as delivered and accepted.
- Return Windows: Buyers may request a return within 7 days of delivery for standard items, 3 days for perishables, and 14 days for electronics (DOA claims).
- Seller Response: Sellers must respond to return requests within 48 hours. Failure to respond may result in automatic approval of the return in the buyer's favor.
- Refund Methods: Refunds are processed to the original payment method. For COD orders, refunds are sent to the buyer's designated GCash or bank account.
- Disputes: If buyer and seller cannot agree, either party may escalate to ReOwn Support for mediation. ReOwn's decision is final.

8) User content and conduct
You are responsible for any content you submit, post, or transmit through the Services. You agree not to:
- Use the Services for unlawful, fraudulent, or abusive activity
- Infringe intellectual property rights
- Attempt to bypass access controls, rate limits, or security features
- Scrape or harvest data without permission
9) Messaging and communications
- The Services may include messaging features (for example, buyer–seller chat and email integrations).
- You agree that ReOwn may send service messages (for example, order updates, security notices, billing reminders).
10) Intellectual property
- ReOwn and its licensors own the Services, including software, trademarks, and brand assets.
- You are granted a limited, non-exclusive, non-transferable license to use the Services as intended.
11) Privacy
Your use of the Services is also governed by the ReOwn Privacy Policy.
12) Third-party services
The Services may integrate with third parties (for example, payment providers, email providers, analytics providers). ReOwn is not responsible for third-party services, and your use may be governed by their terms.
13) Disclaimers
The Services are provided “as is” and “as available”, to the maximum extent permitted by law. ReOwn does not guarantee uninterrupted or error-free operation.
14) Limitation of liability
To the maximum extent permitted by law, ReOwn will not be liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.
15) Indemnity
You agree to defend, indemnify, and hold harmless ReOwn and its affiliates from claims arising out of your use of the Services, your content, or your violation of these Terms.
16) Termination
ReOwn may suspend or terminate access to the Services if:
- You violate these Terms
- There is suspected fraud, abuse, or security risk
- Required payments remain overdue (where applicable)
17) Changes to these terms
ReOwn may update these Terms from time to time. Continued use after changes means you accept the updated Terms.
18) Governing law and dispute resolution
These Terms are governed by the laws of the Philippines, unless required otherwise by applicable law. Disputes should be raised first through support. If unresolved, disputes may be escalated through the appropriate venue.
